Senior Executive, Legal & Secretarial

Job Summary:

This role supports the company’s legal and compliance functions by drafting contracts, advising on regulatory matters, conducting due diligence, managing statutory filings, and coordinating with regulators and external partners. It also maintains legal records and assists with disputes and other assigned tasks.

Responsibilities:

  • Draft, review, and negotiate legal documentation (e.g., commercial contracts, tenancy agreements, service agreements) required for retail operations and business expansion.
  • Advise Management and business units on legal, regulatory, and compliance matters, ensuring day-to-day activities and strategic initiatives are protected and aligned with current laws and best practices.
  • Conduct legal research and due diligence on transactions, suppliers, commercial activities, and expansion projects, evaluating and managing potential risks.
  • Liaise with regulators, external counsel, and corporate secretarial partners to address legal or compliance issues and ensure the organization’s interests are effectively represented.
  • Act as the primary liaison between the company and the appointed external Company Secretary, ensuring effective communication, timely provision of information, and follow-up on the status of all required secretarial documents, resolutions, meeting minutes, statutory filings, and annual returns.
  • Maintain organized records of all legal and secretarial documentation, tracking document distribution and ensuring secure, confidential storage.
  • Support management and business units in implementing company policies, including those on whistleblower protection, data privacy, and anti-money laundering, by offering legal and compliance guidance as required.
  • Liaise with governmental authorities, regulators, external counsel, and auditors on legal and compliance matters affecting the company.
  • Assist in dispute resolution and claims: Gather documentation, coordinate responses, and liaise with external counsel as required in claims, complaints, or investigations.
  • Perform any other tasks assigned by superiors or management, relevant to legal and secretarial matters.

Requirements:

  • Minimum 3-5 years of experience in a corporate legal or compliance role.
  • Minimum of 3 years’ legal experience gained in private practice (as an advocate & solicitor), in-house legal counsel, or similar legal role—demonstrating exposure to corporate, commercial, or retail matters.
  • Experience in drafting, reviewing, and advising on commercial contracts, agreements, and other legal documentation for business operations.
  • Familiarity with Malaysian company law, statutory compliance, and regulatory requirements, particularly those impacting the retail sector.
